These Terms & Conditions govern your use of the Cognuitive website and any communication or materials exchanged with Cognuitive. By accessing this site or submitting information through it, you acknowledge that you have read, understood, and agree to be bound by the provisions below.

Use of the Website

You may use this website for lawful purposes only. You agree not to:

  • Attempt to interfere with the operation or security of the website.
  • Introduce harmful code, scripts, automated bots, or disruptive processes.
  • Access data or systems you are not authorised to view.

Cognuitive reserves the right to restrict access if misuse is detected.

Information You Provide

All information submitted through forms, email, or other channels is provided voluntarily.
You are responsible for ensuring that:

  • The information is accurate and lawful to share.
  • You have the right to disclose any documents or materials you send.

Cognuitive does not request personal data beyond what is necessary to respond to your enquiry.

Confidentiality

Cognuitive recognises that clients may disclose sensitive, proprietary, or confidential information when initiating discussions or submitting materials through this website or any related communication channel. All information provided to Cognuitive whether technical, commercial, operational, or conceptual in nature is treated as strictly confidential from the moment it is received. This obligation applies regardless of whether a formal Non-Disclosure Agreement (NDA) has been executed, as Cognuitive’s internal policies follow standards equivalent to an NDA by default.

Confidential information is used solely for the purpose of reviewing your inquiry, assessing project feasibility, or providing requested guidance or estimates. Access to such information is limited only to team members who are directly involved in evaluating or delivering the relevant services, and no data is shared with external parties unless the client provides explicit written consent or disclosure is required by applicable law.

Cognuitive will not reuse, distribute, publish, or derive profit from any client-provided information outside the scope of explicit engagement. Clients retain the right to request deletion of any confidential materials at any time, and Cognuitive will comply within a reasonable timeframe, subject to legal obligations. These confidentiality obligations survive any preliminary discussions, declined proposals, or terminated engagements.

Intellectual Property

All intellectual property rights associated with materials, concepts, data, software, documentation, or technical specifications supplied by the client remain the sole and exclusive property of the client. Cognuitive does not claim ownership over any client-provided content, nor does the submission of such content through the website or communication channels transfer any intellectual property rights to Cognuitive.

Conversely, Cognuitive retains full ownership of its internally developed tools, processes, design methods, source code libraries, frameworks, architectural patterns, and any pre-existing intellectual property that it may utilise during the assessment or performance of services. Where Cognuitive creates new materials specifically for a client as part of a formal engagement, ownership and licensing rights for those deliverables will be defined explicitly in the service agreement governing the project.

Unless otherwise agreed in writing, Cognuitive grants clients only the rights necessary to use the completed deliverables for their intended purpose, and does not extend rights to modify, resell, sublicense, or redistribute underlying proprietary components created by Cognuitive outside of the contractual scope. Nothing in preliminary discussions, draft proposals, or informal exchanges should be interpreted as a transfer or assignment of intellectual property.

Both parties acknowledge and respect each other’s proprietary rights, and agree not to infringe, replicate, or exploit the other’s protected materials without explicit authorisation.

Third-Party Services

The website may link to or communicate with third-party platforms (e.g., email providers, hosting services). Cognuitive is not responsible for:

  • The content, availability, or security of third-party websites
  • The privacy practices of external platforms

Any third-party tools used in a project are adopted only with your approval and within the explicit scope of work.

Limitation of Liability

To the extent permitted by law, Cognuitive shall not be liable for:

  • Any indirect, incidental, or consequential damages arising from your use of the website
  • Losses resulting from temporary unavailability, inaccuracies, or errors on the website
  • Damages arising from reliance on preliminary discussions or informal assessments

This limitation does not apply to obligations explicitly defined in a formal contract for paid services.

Amendments

Cognuitive may revise these Terms & Conditions from time to time. Changes are effective upon posting, and continued use of the website constitutes acceptance of the updated terms.
